Employees and representatives of Gradecracker are expected to exercise sound judgment, honor commitments, and avoid conduct that could compromise the company’s reputation or the trust placed in us. Business objectives must never be pursued through deception, improper influence, concealment of material information, or other unethical means.

Compliance With Laws and Professional Standards

Gradecracker expects all business activities to comply with applicable federal, state, local, and international laws, as well as relevant professional and industry standards.

Because our services may involve food processing facilities, industrial systems, technical documentation, and regulated operating environments, personnel are expected to understand and follow the legal and professional requirements applicable to their responsibilities. Where laws, client requirements, and company standards differ, the higher standard of responsible conduct should be followed whenever reasonably practicable.

Professional Responsibility

Our engineering and consulting work must be performed with appropriate care, competence, diligence, and professional judgment. Personnel should accept assignments only when they have the appropriate qualifications, support, and resources to perform the work responsibly.

Technical findings, calculations, recommendations, reports, and project records must be prepared accurately and in accordance with the applicable scope of work. Known limitations, assumptions, risks, and material uncertainties should be communicated honestly and in a timely manner.

No employee or representative may knowingly approve, issue, or support technical information that is materially inaccurate, incomplete, or misleading.

Conflicts of Interest

Business decisions must be made in the best interests of Gradecracker and its clients, without improper influence from personal interests or outside relationships.

A conflict of interest may arise when personal, family, financial, or external business interests interfere, or appear to interfere, with objective professional judgment. Potential conflicts should be disclosed promptly so they can be evaluated and managed appropriately.

Employees and representatives should not use their position, access to information, or company relationships to obtain improper personal benefits.

Confidentiality and Proprietary Information

Gradecracker respects the confidential and proprietary information of clients, employees, suppliers, and business partners.

Confidential information may include technical data, facility information, process designs, production methods, commercial strategies, pricing, project documents, research, software, business plans, and other non-public materials. Such information must be accessed, used, stored, and disclosed only for legitimate business purposes and in accordance with applicable agreements and legal requirements.

The obligation to protect confidential information continues after a project, engagement, or employment relationship ends.

Protection of Company Assets

Company property and resources must be used responsibly and primarily for legitimate business purposes. This includes equipment, technology, records, intellectual property, communication systems, software, facilities, and company funds.

Employees and representatives are expected to safeguard company assets against loss, misuse, unauthorized access, damage, theft, and improper disclosure. Company resources may not be used to support unlawful activity, personal commercial ventures, or conduct that could harm the company or others.

Fair Competition and Business Practices

Gradecracker is committed to competing fairly and lawfully. We seek business based on the quality of our services, technical capabilities, industry knowledge, and professional performance.

We do not obtain competitive information through theft, misrepresentation, unauthorized access, inducement, or other improper means. Agreements or communications intended to unlawfully restrict competition, allocate markets, manipulate pricing, or interfere with fair procurement processes are prohibited.

Marketing, proposals, presentations, and other business communications must accurately represent the company’s qualifications and capabilities.

Anti-Bribery and Anti-Corruption

Bribery, kickbacks, facilitation payments, and other forms of improper influence are prohibited. No employee, officer, representative, consultant, or intermediary acting on behalf of Gradecracker may offer, authorize, request, accept, or provide anything of value for the purpose of improperly influencing a business decision, securing an unfair advantage, or obtaining preferential treatment.

This standard applies to interactions with private organizations, public officials, government entities, and all other business parties.

Gifts, Meals, and Business Courtesies

Reasonable business courtesies may be appropriate when they are lawful, modest, infrequent, and connected to a legitimate business purpose. They must never be offered or accepted when they could reasonably be viewed as influencing professional judgment or creating an obligation.

Cash, cash equivalents, excessive entertainment, and gifts connected to pending decisions, procurement activities, inspections, approvals, or contract awards are not acceptable.

Accurate Records and Communications

Business records must be complete, accurate, timely, and maintained in accordance with applicable legal, contractual, and company requirements.

Project records, time entries, expense reports, invoices, correspondence, technical documentation, and other company information must reflect the underlying facts. False entries, altered records, undisclosed arrangements, and misleading documentation are prohibited.

Company communications should be professional and prepared with the understanding that they may become part of the permanent business record.

Respectful and Professional Workplace

Gradecracker is committed to maintaining a workplace in which individuals are treated with dignity and respect.

Discrimination, harassment, retaliation, intimidation, bullying, and abusive conduct are inconsistent with our standards. Employment-related decisions should be based on legitimate business considerations, qualifications, performance, and applicable legal requirements.

We expect employees, managers, contractors, and business partners to contribute to a professional environment that supports cooperation, accountability, and responsible communication.

Health, Safety, and Environmental Responsibility

Although Gradecracker is an engineering and consulting company, our work may influence facilities, processes, equipment, and operating environments. Health, safety, sanitation, and environmental considerations must therefore be addressed responsibly within the scope of our services.

Personnel are expected to identify and communicate material concerns within their area of responsibility and to follow applicable safety procedures when visiting client sites or participating in field activities.

No business objective justifies knowingly disregarding serious health, safety, or environmental risks.

Relationships With Clients and Business Partners

We aim to build relationships based on trust, clear communication, accountability, and professional performance.

Commitments should be realistic and supported by the agreed scope of work. Questions, delays, limitations, and material project issues should be communicated promptly. Client and supplier selection decisions should be based on legitimate business criteria rather than favoritism, undisclosed personal relationships, or improper incentives.

We expect consultants, subcontractors, suppliers, and other representatives acting on our behalf to maintain standards consistent with this Code.

Reporting Concerns

Employees and representatives are encouraged to raise concerns when they believe conduct may violate the law, this Code, a company policy, or a professional obligation. Concerns should be reported in good faith through an appropriate manager or authorized company representative. Reports should provide sufficient information to allow the matter to be reviewed responsibly.

Gradecracker does not tolerate retaliation against individuals who raise a concern honestly, participate in an internal review, or seek guidance regarding an ethical issue.

Accountability

Compliance with this Code is a shared responsibility. Employees, officers, managers, and representatives are expected to understand the standards relevant to their roles and seek guidance when the proper course of action is unclear.

Violations may result in corrective action, including the termination of employment, engagement, or business relationships, as appropriate. Conduct that may involve a violation of law may also be referred to the appropriate authorities.
